(amended December 2019)
The society shall be called ‘The Nuneaton Photographic Society’ (NPS).
The prime objectives of the NPS shall be to further photographic art and techniques through the exchange of ideas and mutual assistance among members; organise lectures, demonstrations, practical learning; and to hold and participate in competitions etc in order to display members’ work.
MANAGEMENT & ORGANISATION
The NPS shall be managed by a Committee consisting of Officers and a minimum of 3 additional Committee Members. All Officers and Committee Members will be elected each year at the Annual General Meeting (AGM).
The Officers will be supported by a minimum of 3 other Committee Members who may have elected responsibilities, such as: such as Competition Secretary, Programme Secretary
A quorum will constitute 3 elected members, of which one must be an Officer. That Officer shall have the right to defer any decision to a further Committee meeting. Minutes will be kept for all meetings. The President shall have the option to exercise a casting vote in the event of a tie at all properly constituted meetings. The Committee shall have the authority to:
- Arrange the entire proceedings of the NPS’s activities.
- Carry out the general management of the NPS.
- Co-opt until the next AGM any member onto the Committee if required.
- Suspend or expel any member whose conduct they consider as inappropriate or damaging to the reputation of the NPS.
- Elect ordinary members to a sub-committee necessary for carrying out the business of the NPS.
Membership is open to anyone over 16 years of age who is interested in the NPS’s objectives, as outlined above (anyone 16 or under will need to be accompanied by a parent/guardian). The elected Committee has the authority to limit, refuse or terminate membership. Any member expelled or asked to resign shall have the right to appeal at a Special General Meeting (SGM) called for the purpose. A list of members names, contact addresses (postal and online) and phone numbers will be held by the Committee. The purposes for which this information will be used are contained in the Society’s Data Protection Policy.
The annual subscription will be set at the Annual General Meeting (AGM) and is payable by the 1st meeting of each calendar year. Visitors will be charged the same club night fee as Members.
The NPS finances will be under the control of the Treasurer. The financial year will start 1 November to end of October each year. An auditor will be appointed each year to audit the accounts. An Officer or Committee member is not permitted to act as an Auditor. All monies/funds will be deposited in a suitable bank or building society as agreed by the Committee. All cheques will be signed by one of two agreed Society signatories who are Committee members.
Competitions will only be open to fully paid up members. All internal competitions will be organised under the NPS Competition Rules, which can be obtained from the Society’s website or Committee Member.
ANNUAL GENERAL MEETING (AGM)
The AGM shall be held during the month of October each year. The business shall include:
- Minutes of the previous AGM.
- Annual report of the President.
- Audited statement of accounts and balance sheet.
- Election of Officers and Committee Members and Auditor for Accounts.
The newly elected Committee will commence office with immediate effect.
SPECIAL GENERAL MEETING (SGM)
A SGM can be called at any time by the Committee or on receipt of a written request by not less than a quarter of the members. The Secretary shall give 21 days’ notice in writing to all members of the SGM, with particulars of all business to be transacted. No business other than that appearing on the notice of such a meeting shall be transacted. Propositions for the SGM shall NOT be accepted unless given to the Secretary with the original request for the meeting, signed by 2 members of the NPS as Proposer and Seconder. All Committee proceedings, and those of any SGM called under this rule, shall be treated as privileged and confidential.
In the event of anything occurring not provided for or not clear in the foregoing Constitution, the Committee shall have the power to deal with at their discretion.
A copy of the Constitution shall be supplied to every member of the Society and a copy retained by the Secretary. No alteration to this Constitution shall be made except at a Special or Annual General Meeting.
The NPS may be dissolved only by consent of three quarters of the members present at an SGM called for that purpose. Such meetings shall decide on the formal disposal of all the NPS’s funds, assets and debts.
